Merchant Enrollment Agreement for wafanshu.com Online Shopping Platform
I. Background of the Agreement
This agreement is entered into between wafanshu.com Online Shopping Platform (hereinafter referred to as "the Platform") and the merchant (hereinafter referred to as "the Merchant") who wishes to enroll on the Platform. The purpose of this agreement is to clarify the rights and obligations of the Merchant on the Platform, protect the legitimate rights and interests of both parties, and promote the healthy and orderly development of the Platform.
II. Conditions for Merchant Enrollment
The Merchant shall possess legal business qualifications and be able to independently bear civil liability.
The products sold by the Merchant shall comply with national laws and regulations, industry standards, and platform rules, ensuring product quality. The Merchant shall not sell counterfeit, infringing, or prohibited products.
The Merchant shall abide by all rules of the Platform, including but not limited to product listing, price setting, and after-sales service.
III. Rights and Obligations of the Merchant
The Merchant has the right to publish product information, conduct sales activities on the Platform, and enjoy various services provided by the Platform.
The Merchant shall ensure the authenticity, accuracy, and completeness of the product information published and shall not publish false or misleading information.
The Merchant shall comply with the pricing policy of the Platform and shall not engage in malicious competition, price fraud, or other such behaviors.
The Merchant shall be responsible for handling after-sales issues related to the products, including but not limited to returns, exchanges, repairs, etc., to protect the rights and interests of consumers.
The Merchant shall comply with the advertising and promotion regulations of the Platform and shall not publish违规广告or engage in malicious order brushing, false transactions, or other such behaviors.
IV. Rights and Obligations of the Platform
The Platform has the right to review the Merchant's enrollment application and decide whether to approve the Merchant's enrollment.
The Platform has the right to supervise and manage the Merchant's business activities on the Platform to ensure compliance with platform rules.
The Platform shall provide technical support and services to the Merchant, including but not limited to product listing, order management, data analysis, etc.
The Platform shall protect the legitimate rights and interests of the Merchant and consumers and shall promptly handle complaints and disputes.
The Platform has the right to adjust and modify platform rules according to market conditions and platform development needs and shall promptly notify the Merchant.
V. Breach of Contract
If the Merchant violates the provisions of this agreement, the Platform has the right to take measures such as removing products, restricting transactions, freezing accounts, etc., and has the right to require the Merchant to bear corresponding breach of contract liability.
If the Platform violates the provisions of this agreement, the Merchant has the right to require the Platform to bear corresponding breach of contract liability and may safeguard its legitimate rights and interests through legal channels.
VI. Amendment and Termination of the Agreement
This agreement shall come into effect upon signing by both parties and shall be valid for one year. Before the expiration of the agreement, both parties may negotiate to renew or terminate the agreement.
If one party violates the provisions of this agreement or commits other serious breaches, the other party has the right to terminate this agreement.
Any amendment to this agreement shall be subject to the consensus of both parties and shall be confirmed in writing.
VII. Dispute Resolution
The signing, execution, interpretation, and dispute resolution of this agreement shall be governed by the laws of the People's Republic of China.
If any dispute arises between the parties during the execution of this agreement, it shall first be resolved through friendly negotiation; if the negotiation fails, either party has the right to file a lawsuit with the people's court in the jurisdiction where the Platform is located.
VIII. Others
Any matters not covered in this agreement may be supplemented through further negotiation between the parties, and the supplementary agreement shall have equal legal effect as this agreement.
